Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and VIN Analytics, LLC (“VIN Analytics,” “we,” “us,” or “our”) governing your access to and use of our websites, products, and services, including build sheets, window stickers, Monroney labels, option codes, pricing data, reports, analytics, and any related content (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

• You must be at least 18 years old to use the Service.

• When you create an account, you must provide accurate and complete information and keep it updated. You are responsible for all activity under your account and for safeguarding your password. Notify us promptly at [email protected] of any unauthorized use or security breach.

• We may refuse, suspend, or terminate accounts at our discretion subject to these Terms.

2. Scope of the Service & Non-Affiliation

• VIN Analytics provides data, documents, and analytics for multiple automotive manufacturers, including but not limited to Porsche, BMW, Mercedes-Benz, Land Rover, Jaguar, Ford and Chevrolet.

• VIN Analytics is not affiliated with, endorsed by, or sponsored by any automobile manufacturer or their affiliates. All manufacturer names, logos, and trademarks are the property of their respective owners and are used for identification purposes only.

3. Changes to the Service and to these Terms

We may modify the Service or these Terms at any time. If we make material changes to the Terms, we will provide notice by posting the updated Terms and updating the effective date above, and/or by email or in-product notice when appropriate. Your continued use after the changes become effective constitutes acceptance of the revised Terms.

4. Purchases, Pricing, Taxes, and Billing

• Payment Processing. We use third-party payment processors (e.g., Stripe and/or PayPal) to process payments. We do not store full credit card details. You authorize us and our processors to charge your payment method for purchases, applicable taxes, and any recurring fees if you enroll in a subscription.

• Prices & Taxes. Prices are shown before applicable taxes unless stated otherwise and may change from time to time. You are responsible for any sales, use, VAT, or similar taxes associated with your purchase.

• Future subscriptions. We may offer subscription plans in the future; if introduced, we'll disclose renewal terms and cancellation instructions at sign-up and in your account.

• Goodwill. In rare cases, we may issue a goodwill refund or account credit at our discretion; such decisions are discretionary and non-precedential.

• Chargebacks. We may suspend or terminate access for accounts with excessive or fraudulent chargebacks and may contest chargebacks with evidence of delivery.

5. License to Use Content You Purchase

Unless otherwise stated at purchase, when you purchase access to a report, build sheet, window sticker, Monroney label, dataset, or other digital content (collectively, “Content”), we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use that Content for your personal or internal business purposes only.

You may not resell, redistribute, sublicense, publicly display, publish, post online (including social media, forums, marketplaces, or public repositories), provide bulk or programmatic access to, or otherwise make the Content available to third parties; nor may you use the Content to create derivative databases or services that compete with or substitute for the Service, except with our prior written permission. 6. Data Sources, Accuracy, and Use at Your Own Risk

• Our data may derive from manufacturer information, third-party licensors, public records, and proprietary aggregation.

• No Official Records. The Service is informational and not an official manufacturer record. Data may be incomplete, delayed, or contain errors. Always verify critical details independently before relying on them for purchases, valuations, or compliance decisions.

• No Professional Advice. The Service does not constitute legal, financial, insurance, or mechanical advice.

7. Acceptable Use; Anti-Scraping; Security

You agree not to:

• Share, sell, lend, or allow others to use your account or credentials; you are responsible for all activity under your account.

• Access or use the Service by automated means (e.g., bots, crawlers, scrapers) without our prior written consent.

• Circumvent rate limits, authentication, or security measures (including CAPTCHA/Turnstile), or attempt to probe, scan, or test for vulnerabilities.

• Copy, archive, or create derivative databases from the Service or Content, except as permitted by Section 5.

• Use the Service to infringe IP rights, violate any law, or interfere with the Service's operation.

We may monitor use and employ technical measures to prevent prohibited use and protect our rights.

8. APIs and Bulk Access

No public API or bulk data access is currently offered. API access or bulk feeds may be offered in the future under a separate written agreement with VIN Analytics. Until such an agreement is in place, API access, bulk downloads, and systematic queries are prohibited. To discuss potential partnerships, contact [email protected].

9. Intellectual Property

The Service and Content, including all software, text, graphics, logos, and compilations, are owned by VIN Analytics or its licensors and are protected by intellectual property laws. Except for the limited license in Section 5, no rights are granted.

Feedback. If you submit feedback or suggestions, you grant VIN Analytics a worldwide, perpetual, irrevocable, royalty-free license to use and exploit such feedback for any purpose without obligation to you.

10. User Submissions

If you upload or submit data (e.g., VIN lists) to the Service (“User Content”), you represent that you have the necessary rights to do so and grant VIN Analytics a non-exclusive license to host, process, and use your User Content to provide the Service. You remain responsible for your User Content.

11. Third-Party Links and Services

The Service may contain links to third-party sites and services. We are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and may be governed by their terms.

12. Disclaimers

YOUR USE OF THE SERVICE AND CONTENT IS AT YOUR SOLE RISK. THE SERVICE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE DATA IS ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIN ANALYTICS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VIN ANALYTICS FOR THE TRANSACTION GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT OR (B) US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You will defend, indemnify, and hold harmless VIN Analytics and its affiliates and personnel from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your (a) use of the Service or Content, (b) User Content, or (c) violation of these Terms or applicable law.

15. Suspension & Termination

We may suspend or terminate your access immediately for any violation of these Terms, suspected fraud, chargeback abuse, security risk, or to protect the Service or other users. Upon termination, your license to Content ends except to the extent permitted by mandatory law. Sections that by their nature should survive (including Sections 5-17) will survive termination.

16. Export & Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. embargoes or sanctions, and you will not use the Service in violation of export control or sanctions laws.

17. Governing Law; Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Virginia for any action not subject to arbitration (if an arbitration agreement is later adopted).

18. Communications & Electronic Notices

By using the Service, you consent to receive transactional emails and notices related to your account and purchases. You may opt out of non-essential marketing emails at any time.

19. Copyright & Trademark Concerns (DMCA)

If you believe Content infringes your copyrights or trademarks, contact [email protected] with: (a) your contact information; (b) a description of the work or mark claimed to be infringed; (c) the URL/location of the allegedly infringing material; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that the notice is accurate and that you are authorized to act; and (f) your physical or electronic signature. We may remove content in our discretion.

20. Miscellaneous

• Entire Agreement. These Terms constitute the entire agreement between you and VIN Analytics regarding the Service and supersede any prior or contemporaneous agreements.

• Severability. If any provision is unenforceable, the remainder remains in effect.

• Waiver. Our failure to enforce any provision is not a waiver.

• Assignment. You may not assign these Terms without our consent; we may assign them as permitted by law.

• Headings. Headings are for convenience only and do not affect interpretation.
